JLL Transaction Services AB conducts advisory activities including, among other things, support in the procurement of financing and financial derivatives. The company's role is to assist clients as an independent party in price and contract negotiations with banks in the European credit market. The advisory services are aimed at companies, foundations, economic associations, institutions, municipalities, county councils, and government agencies. The company also conducts transactions with the client's banks on behalf of the client. These transactions primarily concern the procurement of currency and interest rate derivatives, as well as spot exchanges. The transactions are carried out according to agreed mandates and with power of attorney issued by the client. The company can also bring together buyers and sellers of financial instruments, for example, in situations where a client, after receiving advice, expresses interest in selling or buying certain financial instruments, and the company is aware that another individual may be interested in being the counterparty in the transaction. The activities conducted by the company may also include maintaining and developing the work of an entire finance department on behalf of the client (outsourcing) or leasing out the company's consultants for ongoing work.

JLL Transaction Services AB (JLL) is under the supervision of the Swedish Financial Supervisory Authority (Box 7821, 103 97 Stockholm, www.fi.se) (license number 035227) with permission to conduct securities business in the form of placement of financial instruments without a firm commitment according to the Securities Market Act (2007:528). The license covers the following services:
- reception and transmission of orders in relation to one or more financial instruments
- execution of orders on behalf of clients, investment advice to clients regarding financial instruments
- placement of financial instruments without a firm commitment.
JLL is also authorized to perform accounting services on behalf of clients as an ancillary activity, to provide services in connection with guarantees regarding financial instruments, to provide advice to companies on capital structure, corporate strategy and related matters, as well as to perform services in mergers and corporate acquisitions. CEO
The company's CEO is appointed by the Board of Directors. The CEO manages the day-to-day operations of the Company's affairs according to the guidelines and instructions provided by the Board. The CEO oversees compliance with the objectives, policies, guidelines, and instructions for the Company as established by the Board and ensures that these are submitted to the Board for review. The CEO shall also ensure that the Board members are continuously provided with the information needed to monitor the Company's position, results, and overall development. The division of responsibilities between the Board and the CEO is outlined in the Board's rules of procedure and instructions to the CEO.
The Board has appointed Mattias Baggfelt as CEO.
Auditor
Auditor is appointed by the shareholders at the Annual General Meeting. The auditor examines whether the Company's annual report and accounts are correct and complete, and provide a fair view of the Company and its financial position. The auditor also reviews the Board's and the CEO's management of the Company's affairs.
Risk Management Function, Compliance Function, and Internal Audit
Risk Management Function, Compliance Function, and Internal Audit Regarding the Company's risk management, compliance, and internal control, the Company wishes to emphasize the following.
The Company's risk management is based on three lines of defense and a well-developed risk process. The first line of defense consists of the Company's employees, including the CEO, who are responsible for daily management of risks arising in the Company's operations within their respective areas. The second line of defense is responsible for monitoring risks and compliance and consists of the centrally independent functions for risk management and compliance. The risk management function is responsible for and manages all risks to which the Company is exposed. The compliance function's overall task is to ensure that the Company has the internal rules and procedures required to meet the demands set by laws, regulations, and authority decisions, etc. These functions are organizationally and functionally independent of the operational units in the Company and report directly to the Board. The third line of defense consists of the internal audit function, which exercises independent review and supervision of the work in both the first and second lines of defense. The internal audit function checks and tests the effectiveness of the risk management function's work.
Compensation system and compensation policy
The Company shall explain on its website how it meets the requirements for remuneration policy and remuneration systems that the Financial Supervisory Authority imposes on the Company through its regulations. For this reason, the Company wishes to emphasize the following.
The Board annually establishes a remuneration policy on behalf of the Company. The policy aims to specify the grounds and principles for a sound remuneration system that creates incentives for employees. The policy also aims to promote sound and effective risk management and counteract excessive risk-taking by those active in the Company. The provisions of the remuneration policy cover all employees in the Company. The Chairman of the Board and the Company's compliance function perform an annual independent assessment of the Company's remuneration policy and remuneration system.
In accordance with the Financial Supervisory Authority's regulations in this area, the Company has identified employees whose duties have a material impact on the company's risk profile (hereinafter Significant Risk Takers). The policy includes, among other things, how the Company intends to manage the structure of remuneration, deferral of variable remuneration, and loss of remuneration for affected personnel.

Complaint
In this context, a complaint means that a customer expresses concrete dissatisfaction with the handling of a service or product. The customer should primarily direct complaints to the responsible employee at JLL. If the customer is not satisfied with the handling of the complaint, the employee should refer the customer to the complaints manager. The complaints manager is lawyer Anna Cumzelius at Harvest Advokatbyrå AB. The complaints manager investigates the complaint and provides feedback to the customer. If no response can be given within 14 days, the customer should be informed within this time about how the processing is progressing, the reason for the delay, and when a decision can be expected. In cases where the complaint is not accepted, the complaints manager should inform the customer about the possibility of taking the matter further to the company's CEO, who is the company's highest authority for this type of matter. The complaints manager should also inform the customer about the possibilities of contacting authorities or any other external bodies.
Whistleblower
JLL Transaction Services AB has established a whistleblower system that you can use to report suspicions of irregularities or misconduct in our operations that are in the public interest to disclose, as well as for reporting misconduct that violates EU law or Swedish law that implements or complements EU legislation. This may involve regulatory breaches, sexual harassment, corruption, otherwise unethical behavior, or serious violations of internal rules. Reporting that solely concerns the reporting person's own work or employment conditions is generally not of public interest.
You do not need to have evidence for your suspicion, but you need to have reasonable grounds to believe that the information about the misconduct was true. It is important for us to counteract irregularities, and we therefore encourage all employees and other individuals to report observations. You who make a report will not risk being subjected to reprisals or negative treatment. However, note that if you commit a crime through the reporting or the gathering of information, you are not protected against reprisals.
